1. Agreement to Terms
By registering as a merchant ("Seller") on the MyHood Businesses Platform ("Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
2. Platform Role (Venue Only)
MyHood Businesses provides a digital marketplace for Sellers to list goods and services. We are not a party to any transaction between Buyers and Sellers. We do not own, sell, resell, furnish, provide, rent, re-rent, or control the products or services listed by Sellers.
WE DISCLAIM ALL LIABILITY arising from the authenticity, safety, quality, or legality of the goods or services you sell.
3. Seller Obligations & Warranties
You represent and warrant that:
- You have the full legal authority and capacity to sell the items or services listed.
- All information and documents (ID, Business Permits, Certifications) provided are authentic, current, and accurate.
- You will fulfill all orders and services as described and within the promised handling time.
- You will comply with all applicable local laws, regulations, and consumer protection standards.
4. Prohibited Content & Conduct
You agree NOT to:
- Sell illegal, restricted, counterfeit, stolen, or dangerous goods.
- Post false, inaccurate, misleading, deceptive, or defamatory content.
- Engage in fraudulent activities or harassment of other users.
- Circumvent Platform fees or attempt to move transactions initiated on the Platform off-platform to avoid commissions.
- Infringe upon the intellectual property rights of others.
5. Fees, Payments & Taxes
- The Platform charges fees for its services as configured in the system (including but not limited to Listing Fees, Transaction Commissions, and Subscriptions).
- You acknowledge that Platform Fees are deducted automatically or must be paid as stipulated.
- All fees are non-refundable.
- Taxes: You are solely responsible for determining, collecting, reporting, and paying all applicable taxes (VAT, Income Tax, etc.) associated with your sales. MyHood Businesses is not a tax agent.
6. Indemnification
You agree to indemnify, defend, and hold harmless MyHood Businesses, its owners, affiliates, officers, directors, agents, and employees from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms.
- Your use of the Platform.
- The products or services you allow/sell through the Platform.
- Your violation of any rights of another including Buyer rights.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MYHOOD BUSINESSES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
8. Termination and Suspension
We verify all accounts. We reserve the absolute right to suspend, restrict, or terminate your account and access to the Platform at our sole discretion, without notice, for violation of these terms, suspicious activity, or any action that we believe harms the Platform community.
9. Dispute Resolution
While MyHood Businesses may try to help facilitate the resolution of disputes, we have no obligation to do so. Disputes between you and a Buyer must be resolved directly.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Republic of Kenya.
